CGI, LLC Coaching Agreement – 2020
Thank you for becoming a valued Coaching Client! Below is the coaching agreement. Please read it and sign by filling in the forms at the end. You will receive a copy via email for your records.
Purpose of Agreement: The purpose of this Agreement is to develop a coaching relationship between the parties in order to cultivate the Client’s personal, professional and/or business goals and create a plan to carry out those goals through stimulating and creative interactions with the ultimate result of maximizing the Client’s personal and/or professional potential (“Coaching Services”). The Parties agree as follows:
Purpose. Cherilynn provides individual Coaching and consultation to help clients develop and implement strategies of enhanced sales and business performance and personal satisfaction. Through an interactive and developmental coaching process, Cherilynn guides her clients through strategies and solutions designed to move them towards the attainment of defining and accomplishing professional and personal goals. She respects, acknowledges, and protects the vulnerability and confidentiality of each Client, while constructively holding clients to high standards of self-responsibility and self-accountability. Cherilynn upholds the International Coach Federation Code of Ethics.
The Client understands that in order for Cherilynn to be certified by the International Coach Federation (ICF) as a professional coach, Cherilynn needs to tell the ICF whom she has coached, but not the contents of the Coaching. Cherilynn will give the ICF your name, dates of the coaching relationship, total hours coached, and your contact information. The content of the Coaching will remain confidential. You may be contacted by the ICF to verify that Cherilynn coached you. The ICF will not ask the content or topic of the Coaching.
You will set the agenda. Although Cherilynn often more directs the first introduction call, she will start the remaining sessions by asking what you hope to walk away with by the end of each one. Please complete your Client Profile form in advance of your first session.
It would be great for you to put some thought into this before we meet each time, and Cherilynn will come with her own ideas and suggestions too. Please complete the Client Session Prep form online or via email in advance of each session. Sessions will often take a natural evolution, so there will be no pressure to stick to that agenda. It’s just nice to have a session-by-session vision of success and a place to start. At the end of the coaching engagement, you will be asked to complete a Coaching Completion form.
30,000 foot view: We may interrupt you or ask you to “bottom line” if we are getting too far into story or details—the best way (by far) to maximize our time together is to focus on the big picture: where you are now, where you want to be, and what you are learning about yourself because of those details (without going too far into the story behind them).
We are very open to feedback. If something is not working for you or you wish we could go in a different direction, please let us know! This is all about you—help us make sure we make the most of our time together.
If, at any time, you (the Client) feel that your needs are not being met or you are not getting what you want out of the individual Coaching, please tell Cherilynn so you can discuss your needs and adjust your coaching program. We want to empower you in this relationship and make sure that you are getting everything you want from it.
Ask anything! Seriously, no question is off-limits. Cherilynn is happy to share her thoughts, experiences, and failures to the extent that it is helpful to you. That said, she will always encourage and will give a bias to your thoughts and opinions first—it reinforces the idea (and truth!) that you are the expert on you and your life. Your gut instincts trump ours! Once we’ve explored your thoughts and reactions first, Cherilynn is happy to chime in toward the end of the call.
Sessions Coaching is scheduled at the mutual convenience of the coach and the Client. In most cases, Coaching will be conducted via telephone for 60 minutes. We respect your time (and hopefully vice versa!) and will make sure our sessions start and end on time. If you need to cancel or move a call, please email at least 24 hours in advance. Less than 24 hours’ notice means you need to find a way to make the call or forfeit that session.
Confidentiality Our sessions are 100% confidential. This is critically important to us so that you have a safe space to talk about whatever is on your mind. Cherilynn will not tell people we are working together without your explicit permission, nor will she ever share the content of our conversations, though you should feel free to discuss or share whatever you feel comfortable with outside of coaching calls. Cherilynn may anonymously and hypothetically share some topics. She may sometimes refer to anecdotes and stories from past clients who have been through what you have and overcome it. Using stories in this way helps you and others better understand concepts and lets me demonstrate situations so you can learn what you need to know. Rest assured that key details are so far removed from reality that recognizing actual people or their issues would be impossible. Names remain confidential and are always protected for privacy.

Cherilynn respects your confidentiality and will only release information with your written permission if she is required to do so by a court order or if she believes you are in danger of hurting yourself or others. These situations rarely occur in coaching practices, but if such a situation does occur, she will make every effort to discuss it with you before taking any action.
Coaching versus Psychotherapy There are some similarities between Coaching and psychotherapy, but Cherilynn is not a licensed therapist, and you will not be receiving therapy. Although both Coaching and psychotherapy use knowledge of human behavior, motivation, behavioral change, and interactive counseling techniques, there are significant differences in the goals, focus, and level of professional responsibility. In rare situations, Cherilynn may recommend that you enter psychotherapy (with a psychotherapist or counselor) as a condition of continuing Coaching.
The Client agrees that if they are currently in therapy or otherwise under the care of a mental health professional, the Client has consulted with the mental health care provider regarding the advisability of working with a coach. And that this person is aware of the decision to proceed with the coaching relationship.
Professional Boundaries Coaching is a professional relationship, and Cherilynn will maintain professional boundaries during and after your work together. Considerable experience shows that the hard-won benefits gained from the coaching relationship are endangered when boundaries blur.
Intellectual Property To honor and protect the coach’s intellectual property, (you), the Client agrees not to disclose or communicate information about the coach’s materials, written articles, or methods to any third parties without express permission. Cherilynn will also protect any client’s intellectual property or personal/business information.
Informed Consent Sales and business coaching with Cherilynn Castleman is designed to help you enhance and improve all aspects of your personal and professional life, using the Coaching calls for strategizing, brainstorming, goal setting, and planning. Your specific progress is based on your ability to implement the plan you develop and all situations that may affect your goals; for example, Coaching offers no guarantees of financial progress.
Hold Harmless In her role as a sales and business coach, Cherilynn may make suggestions or offer advice, resources, and recommendations for her clients. But each Client assumes sole responsibility to decide what actions to take and for their physical, mental, and emotional well-being during coaching calls. Given this coaching contract, all clients agree to hold Cherilynn harmless for the state of their businesses or careers, as well as taking total responsibility for their results apart from Coaching. Clients will indemnify and hold Cherilynn Castleman and CGI harmless from any legal claims, actions, or judgments.
The Client understands that coaching is not to be used as a substitute for professional advice by legal, medical, financial, business, spiritual, or other qualified professionals. The Client will seek independent professional guidance for legal, medical, financial, business, spiritual, or other matters. The Client understands that all decisions in these areas are exclusively the Client’s and acknowledges that decisions and actions regarding them are the Client’s sole responsibility.
Class Action Waiver You may only resolve disputes with us on an individual basis, exclusively by binding arbitration, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed.
Your Satisfaction & Refund Policy Your satisfaction is important to me. If for any reason, you are not completely satisfied with your coaching program, a refund will be provided on the following conditions:
- A 100% refund will be issued if you wish to cancel your coaching program before the start of your second session.
- A 50% refund will be issued if you wish to cancel your coaching program before the start of your fourth session.
- No refunds will be issued after 30-days.
I reserve the right to decide which clients I work with and to ban clients from my practice and my programs if they behave disrespectfully. In the unlikely event, I need to banish you from my programs; no refund will be issued.
- This Agreement shall be governed and construed in accordance with the laws of the State of Maryland without giving effect to any conflicts of law’s provisions.
Agreement. This document reflects the entire Agreement between the Coach and the Client and reflects a complete understanding of the parties. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client. Either party may terminate this Agreement at any time upon 15 days’ written or email notice to the other party.
